When you engage 291 Group for professional services:
- Services will be provided under a separate written agreement
- Specific deliverables, timelines, and pricing will be defined in statements of work
- Payment terms will be outlined in the service agreement
- Confidentiality and intellectual property rights will be addressed contractually
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of our business relationship. This obligation survives the termination of any agreement between the parties.
8. Export Controls
Our products and services may be subject to Canadian export control laws and regulations. You agree to comply with all applicable export and import laws and not to export, re-export, or transfer our products or services to prohibited countries, entities, or individuals.
9. Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- Our services will be uninterrupted or error-free
- Defects will be corrected
- Our services are free from viruses or harmful components
- Results obtained will be accurate or reliable
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 291 GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim, or $100 CAD, whichever is greater.
11. Indemnification
You agree to indemnify, defend, and hold harmless 291 Group, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of our services or violation of these Terms.
12. Termination
We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:
- Your right to use our services ceases immediately
- We may delete your account and data
- All provisions that should survive termination will remain in effect
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in the NCR, Canada.
14. Dispute Resolution
In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith negotiations. If unsuccessful, disputes may be resolved through mediation or arbitration before resorting to litigation.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and 291 Group regarding our services and supersede all prior agreements and understandings.
